ACCREDITED INVESTOR QUALIFICATIONS

According to Rule 501 of Regulation D, promulgated under the Securities Act of 1933, a person is considered an "accredited investor" if:

1) The person’s income (exclusive of the income of his/her spouse) in excess of $200,000 for each of the two most recent years, or joint income with that person’s spouse in excess of $300,000 in each of those years, and reasonably expects the same income level for the current year; or

2) The person’s net worth (with or without their spouse) is in excess of $1,000,000.
